dithering, gradiant, and transparancy

I am looking to make a web graphic, with transparent background.

i would like it to be a gradiant color, fading from transparent to black.

when i do this, i get a white or grey to black fade.

any help?

.jpg doesn't support transparency

the only way to make this effect is to create an image that contains the underlying part of the backgroundimage
